Cases
Greenwald v. Odom, 314 Ga.App. 46, 723 S.E.2d 305 (Ga. App., 2012); Mr. Sims represented prevailing plaintiff. In reversing summary judgment the Court of Appeals ruled that misrepresentations of existing facts used to bolster predictions of future performance can constitute actionable fraud. Schottenstein v. Vintage Capital Mgmt., LLC, 150 So.3d 1175 (Fla. App., 2014) Mr. Sims represented the prevailing defendants, a private equity fund and its managers. There was a "memorandum of understanding" (the "MOU") between the plaintiff and the defendant private equity fund purportedly setting the plaintiff's compensation when the fund became operational. A dispute arose when the compensation plan adopted by the fund differed from the MOU. Cases were filed in the U.S District Court for the Southern District of NY and in the Circuit Court of Orange County, FL. Following a trial in Orange County, the Court ruled that the defendant fund and its managers had no liability to the plaintiff because the memorandum of understanding was merely an unenforceable agreement to agree.
