A legal claim placed on real estate by someone who is owed money for labor, services or supplies contributed to the property for the purpose of improving it. A mechanics' lien claimant can sue to have the real estate sold at auction and recover the debt from the proceeds. A rule that allows you to cancel a contract within a specified time period (typically three days) after signing it. In some states, two people are presumed to own property as tenants in common unless they've agreed otherwise in writing.

Directors are responsible for making important business decisions -- especially those that legally bind the corporation -- leaving day-to-day management to officers and employees of the corporation. For example, a decision to borrow money, lease an office or buy real property would normally be authorized by the board of directors. However, in the small business world, where it is common for owners to be directors, officers and employees simultaneously, distinctions dividing the roles and responsibilities of these groups are often blurred.
